Welcome to Develop & Code LLC. These Terms of Service (“Terms”) govern your access to and use of our AI Automation consulting services (“Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1. Services

Develop & Code LLC provides consulting services in AI automation, including but not limited to, AI system design, implementation, support, and training. We reserve the right to modify or discontinue the Services at any time without prior notice.

2. Eligibility

To use our Services, you must be at least 18 years old and have the legal capacity to enter into a binding contract. By using our Services, you represent and warrant that you meet these requirements.

3. Client Responsibilities

You agree to provide accurate, current, and complete information as required for the provision of our Services. You are responsible for maintaining the confidentiality of any account information and for all activities under your account.

4. Fees and Payment

All fees for our Services will be agreed upon in writing before the commencement of any work. Payment is due upon receipt of the invoice unless otherwise specified. Late payments may result in suspension of Services until the outstanding balance is paid in full.

5. Confidentiality

We acknowledge that, during the course of providing our Services, we may have access to confidential and proprietary information. We agree to maintain the confidentiality of such information and not disclose it to any third party without your prior written consent.

6. Intellectual Property

All intellectual property developed during the course of providing the Services, including but not limited to, code, designs, and documentation, shall remain the property of Develop & Code LLC unless otherwise agreed in writing.

7. Limitation of Liability

To the maximum extent permitted by law, Develop & Code LLC shall not be liable for any indirect, incidental, special, or consequential damages, or any loss of profits or revenue, arising out of or in connection with the use of our Services.

8. Indemnification

You agree to indemnify and hold harmless Develop & Code LLC, its employees, and affiliates from any claims, damages, or losses arising out of or in connection with your use of our Services or your violation of these Terms.

9. Termination

Either party may terminate the Services at any time with 30 days’ written notice. Upon termination, you shall pay for all Services rendered up to the termination date. All provisions of these Terms which by their nature should survive termination shall survive, including intellectual property, confidentiality, and indemnification clauses.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the state in which Develop & Code LLC is registered, without regard to its conflict of law principles.

11. Dispute Resolution

Any disputes arising out of or related to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

12. Modifications

Develop & Code LLC reserves the right to modify these Terms at any time. Any changes will be effective immediately upon posting. Your continued use of the Services after such modifications constitutes your acceptance of the revised Terms.
